Terms & Conditions

The terms that apply when you use our website, buy a service package or engage Adriel Corp on a software project.

These terms and conditions set out the rules for using the Adriel Corp website, buying productised services from our online shop, and engaging us to design, build, refactor, migrate or maintain software. Please read them carefully: by using the website or placing an order, you agree to be bound by them.

Last updated: 14 October 2026

We have tried to write these terms in plain language. Where a term limits our liability or places a risk or responsibility on you, it is shown in bold, as the Consumer Protection Act 68 of 2008 (“CPA”) requires where it applies. Nothing in these terms is intended to limit any right you have under the CPA, the Electronic Communications and Transactions Act 25 of 2002 (“ECTA”) or any other law that cannot lawfully be excluded.

1. About these terms

These terms form a binding agreement between you and Adriel Corp (“Adriel Corp”, “we”, “us” or “our”). If you use the website or place an order on behalf of a company or other organisation, you confirm that you are authorised to bind it, and “you” includes that organisation.

These terms apply together with:

If there is a conflict, a signed Project Agreement takes precedence over these terms for that project, and these terms take precedence over general information on the website.

2. Definitions

  • Services means the professional software development and related services we provide, including workshops, development packages and custom projects.
  • Package means a productised service with a fixed scope and price listed in our shop, such as the Discovery & Architecture Workshop or the Web Application Starter.
  • Deliverables means the software, source code, designs, documentation and other materials we create specifically for you under an order or Project Agreement.
  • Client Materials means content, data, logos, credentials and other materials you provide to us.
  • Consumer has the meaning given in the CPA or ECTA, as applicable.

3. Information about us (ECTA section 43)

Section 43 of ECTA requires suppliers who sell goods or services online to make certain information available. In summary:

  • Supplier: Adriel Corp, a software development house operating in South Africa.
  • Website: adrielcorp.com. Email: [email protected].
  • Physical address, address for service of legal documents, telephone number and registration details: available on request by email.
  • Description of services, prices and payment methods: shown on each product page and at checkout, and in sections 6 to 9 below.
  • Time for performance: scheduled with you after your order is confirmed, as described in section 6.
  • Returns, cancellations and refunds: see our Refund & Cancellation Policy, including your cooling-off rights under section 44 of ECTA.
  • Privacy and payment security: see our Privacy Policy. Card or online gateway payments, if enabled, are processed by the payment provider; we do not store card details.
  • Record of transaction: you will receive an order confirmation by email and, if you have an account, can view your orders in the shop. You may request a copy of your transaction record at any time.
  • Dispute resolution: see section 18.

4. Using our website

You may browse the website, read our blog and share links to our content for lawful, non-commercial purposes. You agree not to:

  • use the website in any way that breaks the law or infringes anyone’s rights;
  • attempt to gain unauthorised access to the website, its server, accounts or any connected system, or to probe, scan or test its vulnerabilities without our written permission;
  • introduce viruses, malware or other harmful code, or carry out denial-of-service or brute-force attacks;
  • scrape, copy or republish substantial parts of the website for commercial purposes without permission;
  • submit false, misleading or spam enquiries, or impersonate another person; or
  • post unlawful, defamatory or offensive content in comments or forms.

We use security tools that log IP addresses and login attempts and may block traffic that appears malicious. We may suspend or restrict access to the website at any time for maintenance, security or legal reasons. We do not guarantee that the website will be uninterrupted, error-free or free of harmful components, although we take reasonable steps to keep it secure.

5. Customer accounts

You may create an account in our shop to manage orders. You are responsible for keeping your login details confidential and for activity under your account. Please tell us immediately at [email protected] if you suspect unauthorised use. We may suspend accounts that are used in breach of these terms.

6. Shop orders

6.1 What we sell

Our shop sells productised professional services, not physical goods. Each product page describes what is included, what is not included, the expected format (for example, online or in-person sessions) and any prerequisites. Nothing is shipped; deliverables are provided digitally or in sessions with you.

6.2 Prices

All prices are in South African Rand (ZAR). Whether a price includes or excludes VAT, and any VAT amount, will be clearly shown on the product page and at checkout. Travel or other costs not included in a Package will only be charged if agreed with you in writing beforehand.

6.3 Placing an order and acceptance

When you place an order, you make an offer to buy the selected Package. You will receive an automatic email acknowledging your order; this is not yet acceptance. A binding contract is formed when we confirm your order by email after receiving payment (or an agreed deposit), or when we start performing the service, whichever happens first. We may decline an order, for example where a Package is not suitable for your requirements, where we lack capacity in the requested period, or where there is a pricing error. If we decline an order after you have paid, we will refund you in full.

6.4 Payment

Payment may be made by EFT or direct bank transfer, or by any other payment gateway we enable. For EFT payments, please use your order number as the payment reference. Your order will remain on hold until the funds reflect in our bank account. If payment is not received within seven days of the order, we may cancel it. Our banking details are provided at checkout and in your order email; we will never change them by email alone, so please confirm with us before paying if you receive a request to pay into different account details.

6.5 Scheduling and performance

After your order is confirmed, we will contact you to schedule workshops, kick-off meetings and delivery dates. Timeframes on product pages are estimates and depend on prompt access to your people, information and systems. If a Package requires information from you, the delivery timeline starts once we have received it.

6.6 Errors

We try to ensure that product descriptions and prices are accurate. If we discover an obvious error in a price or description after you order, we will contact you and you may either proceed at the correct price or cancel for a full refund.

7. Quotes and proposals

For custom work, we provide a written quote or proposal based on the information available to us at the time. Unless the quote states otherwise:

  • a quote is valid for 30 days from its date;
  • it is based on the scope, assumptions and exclusions it describes, and any change to these may affect the price and timeline;
  • estimates of effort or duration are good-faith estimates, not fixed commitments, unless the quote expressly says the price is fixed; and
  • a quote becomes binding only when accepted in writing (including by email or electronic signature) and, where applicable, the deposit is paid.

Illustrative prices and timelines in blog articles or on service pages are not quotes. See our Disclaimer.

8. Project engagements

8.1 Our approach

We usually deliver projects using the six phases described on our How We Work page: conceptual, structuring, prototyping, development, testing and deployment. The Project Agreement sets out the scope, milestones, deliverables, acceptance criteria and payment schedule.

8.2 Your responsibilities

To allow us to deliver on time, you agree to:

  • appoint a contact person who can make decisions and provide timely feedback;
  • provide accurate requirements, Client Materials and access to systems, accounts and environments when needed;
  • ensure you have the right to give us the Client Materials and that our use of them as instructed will not infringe anyone’s rights or break any law, including POPIA; and
  • review and test deliverables within the agreed acceptance period.

Delays caused by late feedback, missing information or unavailable access may change the timeline and, where they cause additional work, the price.

8.3 Change requests

If you want to change the agreed scope, we will assess the impact on time and cost and send you a written change request. Changes are only binding once both parties approve them in writing.

8.4 Acceptance

When a milestone or deliverable is ready, we will notify you. You have the acceptance period stated in the Project Agreement (or, if none is stated, ten business days) to test it against the acceptance criteria and report any material non-conformities in writing. We will correct genuine non-conformities and resubmit. A deliverable is treated as accepted when you confirm acceptance, when the acceptance period ends without a written report of material non-conformities, or when you use it in a live production environment.

8.5 Third-party services

Many projects rely on third-party services such as cloud platforms (for example Azure or AWS), app stores, payment gateways, domain registrars and software libraries. Unless the Project Agreement says otherwise, these are contracted by you in your name, their fees are payable by you, and they are governed by their own terms. We are not responsible for the availability, pricing changes or policy decisions of third-party providers.

9. Fees, invoices and late payment

Project fees are payable according to the schedule in the Project Agreement, which will usually include a deposit and milestone payments. Invoices are payable within the period stated on them. If an invoice is not paid on time, we may, after giving you written notice, pause work on the project until payment is received, and adjust the timeline accordingly. Bank charges on your side of a payment are for your account.

10. Intellectual property

10.1 Our website

The content of this website, including text, graphics, logos and the site design, belongs to Adriel Corp or is used under licence. Images from Wikimedia Commons are used under their Creative Commons licences and credited on our Image Credits page. You may not copy or reuse our content beyond what is allowed by law or these terms without our written permission.

10.2 Deliverables: ownership on full payment

Ownership of the intellectual property in the Deliverables created specifically for you transfers to you only once you have paid all amounts due for those Deliverables in full. Until then, we grant you a limited, revocable licence to use the Deliverables for review and testing. On full payment we will hand over the source code and related materials as described in the Project Agreement.

10.3 Our pre-existing materials

We may use our own pre-existing tools, frameworks, code libraries, templates and know-how (“Background IP”) in delivering the Services. We keep ownership of our Background IP. To the extent it is included in a Deliverable, we grant you a non-exclusive, perpetual, royalty-free licence to use, modify and maintain it as part of that Deliverable once paid in full.

10.4 Open-source and third-party components

Deliverables may include open-source or third-party components, which are licensed under their own terms. We will tell you about any components with licence conditions that materially affect how you may use or distribute your software.

10.5 Client Materials and portfolio

You keep ownership of your Client Materials and grant us a licence to use them only as needed to perform the Services. We will only name you as a client or show your project in our portfolio with your prior consent.

11. Confidentiality

Each party will keep the other’s confidential information secret, use it only for the purposes of the engagement and disclose it only to people who need to know it and are bound by similar obligations. This does not apply to information that is public, already known to the recipient, independently developed or required to be disclosed by law. These obligations survive the end of the engagement. We are happy to sign a mutual non-disclosure agreement before discussing sensitive ideas.

12. Data protection

We process personal information in accordance with our Privacy Policy and POPIA. Where we process personal information on your behalf as an operator, we will do so only on your instructions and with appropriate security safeguards, and we may enter into a separate operator or data processing agreement with you.

13. Warranties

We warrant that we will perform the Services with reasonable care and skill and in a manner that people are generally entitled to expect, and that Deliverables will materially conform to the agreed specifications when accepted. If you report a reproducible defect within the warranty period stated in the Project Agreement (or, if none is stated, 30 days after acceptance), we will fix it at no additional cost.

This warranty does not cover defects caused by changes made by anyone other than us, misuse, third-party services or components, hosting environments we do not manage, or new requirements. Except as set out in these terms or required by law, we do not warrant that software will be completely error-free or will operate without interruption, or that it will achieve particular business results. Where the CPA applies, your rights under sections 54 and 56 (quality of services and implied warranty) are not affected.

14. Limitation of liability

To the extent permitted by law:

  • we are not liable for any indirect, special or consequential loss, including loss of profits, revenue, data, goodwill or business opportunity, arising from the website or the Services;
  • our total liability arising from any order or project is limited to the fees you actually paid us for that order or project in the 12 months before the event giving rise to the claim; and
  • we are not liable for losses caused by your failure to keep backups, to secure your own systems and credentials, or to follow our reasonable advice.

Nothing in these terms excludes or limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded or limited under the CPA or other applicable law.

15. Indemnity

You agree to indemnify Adriel Corp against third-party claims arising from Client Materials you provide, your use of the Deliverables in breach of law, or your breach of these terms, except to the extent the claim results from our own breach or negligence.

16. Cancellation, termination and refunds

Cancellation and refunds for shop orders, workshops, deposits and milestone-based projects are dealt with in our Refund & Cancellation Policy. Either party may terminate a Project Agreement by written notice if the other party materially breaches it and fails to remedy the breach within 14 days of being asked to do so. On termination, you must pay for work performed up to the termination date, and we will hand over completed and paid-for Deliverables.

17. Events beyond our control

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, extended electricity load-shedding, internet or hosting outages, strikes, pandemics or acts of government, provided it notifies the other party promptly and takes reasonable steps to limit the impact. Payment obligations for work already done are not suspended.

18. Governing law and disputes

These terms and any order or Project Agreement are governed by the laws of the Republic of South Africa. If a dispute arises, both parties will first try in good faith to resolve it through discussion between senior representatives within 20 business days. If that fails, either party may propose mediation. Subject to that process, the parties submit to the jurisdiction of the competent courts of South Africa. Nothing in this section prevents a consumer from approaching the National Consumer Commission, a consumer court, an ombud or any other forum available under the CPA, or either party from seeking urgent relief from a court.

19. General

  • Electronic communications: you agree that orders, acceptances, notices and agreements may be concluded by email and electronic means, as recognised by ECTA.
  • Notices: notices to us must be sent to [email protected]; notices to you will be sent to the email address on your order or Project Agreement.
  • Entire agreement: these terms and any Project Agreement are the whole agreement between us about their subject matter.
  • Severability: if any provision is found invalid, the rest remains in force.
  • No waiver: a delay in enforcing a right is not a waiver of it.
  • Assignment: you may not transfer your rights without our written consent. We may use qualified subcontractors but remain responsible for their work.

20. Changes to these terms

We may update these terms from time to time. The version on the website at the time you place an order or accept a quote applies to that order or quote. Material changes will not affect a signed Project Agreement unless both parties agree in writing.
